License

This Agreement includes the following four parts：

I. Service Objects:

1. Physical stores, store clerks, end users, engineering channel users, and service providers (including, but not limited to, decoration companies, design companies, designers, etc.) of sanitary products and other clients in need of sanitary services.
2. User types: ordinary users and authenticated users. You can become an ordinary user of AXENT Platform bound by all the terms of this Agreement by signup through a mobile phone or authorized login via a third-party account (WeChat or Weibo); an ordinary user can become an authenticated user by ID authentication application made by a physical store with which he/she has established a favorable partnership as a partner.

II. Service Contents:

1. Browse service: all users are allowed to browse and check written product materials, images, videos, after-sales materials, etc.
2. Downloading service: 3D product model downloading service is available for authenticated users.
3. Ordering service: Users may deliver demand information to a store through AXENT Platform.
4. Point service: a point system is established to stimulate users to register as users of AXENT Platform. Points will accrue upon registration, authentication, invitation, delivery of demand information, or conclusion of a transaction. Meanwhile, a point store is built on the Platform for users to make exchanges with corresponding points.
5. AXENT coin service: this is an exclusive service for authenticated users to consume at stores using AXENT coins.

III. Terms of Service:

1. Confirming and Accepting the Terms of Service

Before accepting this service, the user shall read these terms carefully. The user is deemed to have accepted all the terms of this Agreement when starting to use this service or completing the signup procedure.
2. The user agrees:

(1) to provide personal data in a timely, detailed and accurate manner.

(2) To keep updating the registered data in a timely, detailed and accurate manner.

This platform shall be entitled to terminate the service at any time if the data provided by the user are incorrect. AXENT Platform will protect the personal privacy of the user and will not make public relevant information of the user except in any of the following circumstances:
 In order to complete a transaction successfully, it has to provide certain information (e.g., name, contact number, e-mail, etc.) of the user to relevant partners for them to contact the user and provide services timely.
 It is necessary for identification, contact or legal purposes when any of the user’s acts on the platform violates laws or regulations or covenants as prescribed herein or may damage the rights and interests of others.
*  A judicial organ or any other authority legally performing its duties requires AXENT to provide certain personal data.
 Personal information must be disclosed or made public as required by laws or regulations.
*  Other cases where AXENT Platform has reasonable cause to believe that the information shall be made public.
3. When doing any act on AXENT Platform, the user must:

(1) Comply with laws and regulations related to Internet.

(2) Not use the information service for any illegal purpose or do any unethical act.

(3) Not interfere with or disturb network services.

(4) Abide by all the regulations, procedures and practices of AXENT Platform as otherwise prescribed.

Where the user is found to have violated any term hereof, AXENT Platform shall have the right to suspend the service at any time and hold the user accountable. In case of any damage arising therefrom, AXENT Platform shall be entitled to ask for a compensation additionally.
4. User Account, Password and Security

The user successfully registered will own a username and password and may alter the password at any time. The user shall bear all the responsibility for the security of his/her username and password as well as all the activities and matters occurred using the username. When finding any illegal use of the username and password or any security loophole in the Platform, the user shall inform AXENT Platform immediately and provide assistance.
5. Title and Intellectual Property Rights

Any title and intellectual property rights to and in any images, videos, texts, diagrams, data, software, and other data and information on AXENT Platform shall belong to AXENT (Xiamen) Co., Ltd. The user is not allowed to copy or reproduce the same, otherwise AXENT (Xiamen) Co., Ltd. will hold the user accountable and ask for a compensation for any loss caused thereby.
6. Disclaimer

The user understands and agrees: the reliability and usefulness of any information and data obtained through AXENT Platform depend on the user’s judgment, and the user agrees to bear any risk incurred during the use of any service of AXENT Platform, whereas AXENT Platform assumes no any joint and several liability or guarantee liability, especially in any of the following circumstances:

 The user discloses his/her account and password to any other person, resulting in leakage of any personal information.

 AXENT Platform does not guarantee that the information published by the user will be existed in real time or stored successfully.

 Whereas this service involves Internet, mobile telecommunications and other services, which make it subject to various unstable factors such as computer virus or hacker attack that may lead to service suspension or failure to satisfy user demand, the user knows and understands the possibility of the said circumstance and acknowledges that AXENT Platform assumes no any liability for any such circumstance.

 AXENT is an integrated service platform, providing evidence for the partnership established between the user and physical stores, but it involves no any offline transaction between any store and user. In case of any dispute arising from any offline cooperation between a store and user, AXENT will provide assistance for settlement of such dispute, while reserving the right to take measures such as disabling the account and cancelling relevant rights and interests of the user concerned.

 The user shall assume any consequences and legal liabilities for any violation of national laws or regulations or covenants made herein.

 AXENT Platform assumes no any liability for any direct, indirect, occasional or consequential damages that the user may incur during the use of this service.

IV. Miscellaneous:

1. Modifying this Agreement:

AXENT Platform shall have the right to modify the terms of this Agreement and publish the modified terms on relevant platforms when necessary. If the content altered is unacceptable, the user may unsubscribe as a registered user (including authenticated user), otherwise the user will be deemed to have accepted such alteration.
2. Terminating Services

AXENT Platform shall be entitled to suspend one or more services at any time according to the actual situation, without need to bear any liability to or notify any person or third party.
3. Governing Laws

The terms above are governed by the laws of the People’s Republic of China. Any dispute shall be submitted to the People’s Court at the place where AXENT (Xiamen) Co., Ltd. is located. In case of inconsistence between any term of service and any law of the People’s Republic of China, the term concerned shall be reinterpreted according to law, and the remaining terms shall remain in force and effect.
